Terms of Use

1. ACCEPTANCE OF TERMS LOVENOTES provides a collection of online resources, including classified ads, forums, blogs, events, trainings, and various email services, (referred to hereafter as "the Service") subject to the following Terms of Use ("TOU"). By using the Service in any way, you are agreeing to comply with the TOU. In addition, when using particular LOVENOTES services, you agree to abide by any applicable posted guidelines for all LOVENOTES services, which may change from time to time. LOVENOTES has the right, but is not obligated, to strictly enforce the TOU through self-help, community moderation, active investigation, litigation and prosecution. We reserve the right, at our sole discretion, to change, modify or otherwise alter these terms and conditions at any time. Such modifications shall become effective immediately upon the posting thereof. You must review this agreement on a regular basis to keep yourself acquainted with any changes.

2. CODE LOVENOTES does not claim any ownership rights in your Code (any script entered by the User to the LOVENOTES Programme. If you upload any of your Code to the LOVENOTES Programme, subject to the licenses granted by you herein, you continue to have the right to use and license your Code in any way you choose (and you are responsible for protecting those rights as appropriate). You may only upload your Code to the LOVENOTES Programme, for use on your social network, provided that your Code complies with the terms of this Agreement. At any point, you can take your Code from our social network and cancel your account and LOVENOTES shall not retain any license rights, except as provided below. By agreeing to these terms, you hereby grant a non-exclusive, worldwide, perpetual, transferable, irrevocable, sublicenseable, royalty-free right and license to access, use, reproduce, store, modify, distribute, publicly display, publicly perform and create derivative works of your Code (a) for the purpose of operating and making your social network available on the LOVENOTES Programme and in all current and future media in which the LOVENOTES Programme may now or hereafter be distributed or transmitted; or (b) for our internal business purposes. Additionally, you hereby grant LOVENOTES a non-exclusive, world-wide, transferable, irrevocable, sublicenseable royalty-free right and license to continue using, reproducing, archiving, caching, creating derivative works, publicly displaying and performing in perpetuity, any of your Code that is incorporated into the LOVENOTES Programme, provided that LOVENOTES shall not use or distribute your Code on a stand alone basis. The foregoing license does not limit LOVENOTES’s rights under any third party or open source license in which your Code is licensed.

3. CONTENT All postings, messages, text, files, images, photos, video, sounds, or other materials ("Content") posted on, transmitted through, or linked from the Service, are the sole responsibility of the person from whom such Content originated. LOVENOTES does not claim any ownership rights in the Content. After posting the Content, you continue to retain ownership of the Content, and you continue to have the right to use and license the Content in any way you choose. Moreover, you are entirely responsible for each individual item ("Item") of Content that you post, email or otherwise make available via the Service. You accept and understand that LOVENOTES does not control, and is not responsible for Content made available through the Service, and that by using the Service, you may be exposed to Content that is offensive, indecent, inaccurate, misleading, or otherwise objectionable. In addition, the LOVENOTES site and Content available through the Service may contain links to other websites, which are completely independent of LOVENOTES. LOVENOTES makes no representation or warranty as to the accuracy, completeness or authenticity of the information contained in any such site. Your linking to any other website is at your own risk. You agree that you must evaluate, and bear all risks associated with, the use of any Content, that you may not rely on said Content, and that under no circumstances will LOVENOTES be liable in any way for any Content or for any loss or damage of any kind incurred as a result of the use of any Content posted, emailed or otherwise made available via the Service. You acknowledge that LOVENOTES does not pre-screen or approve Content, but that LOVENOTES shall have the right (but not the obligation) in its sole discretion to refuse, delete or move any Content that is available via the Service, for violating the letter or spirit of the TOU or for any other reason. You hereby grant LOVENOTES, during the course of your usage of the LOVENOTES Programme, a nonexclusive, worldwide, royalty-free, perpetual, irrevocable, sublicenseable and transferable right and license to (i) use, reproduce, create derivative works of, distribute, publicly perform and publicly display the Content (a) for the sole purpose of operating and making the Content available on the LOVENOTES Programme and in all current and future media in which the LOVENOTES Programme may now or hereafter be distributed or transmitted or (b) for our internal business purposes; and (ii) disclose metrics regarding the Content on an aggregated basis for advertising, marketing and business development purposes. If you wish to grant Users or the general public additional licenses to the Content, please include the license terms with the Content. Without limiting the foregoing, LOVENOTES reserves the right to retain copies of Content for archival purposes after termination of the Agreement. You are responsible for making sure that you have all rights in the Content. This includes the rights necessary for you to grant the foregoing licenses to the Content. You are solely responsible for the Content. You understand that whether or not the Content is published or marked private by you, LOVENOTES does not guarantee any confidentiality or privacy with respect to any of the Content. Moreover, you understand and agree that the Content that is displayed on the LOVENOTES Programme and may continue to appear on the LOVENOTES Programme, even after you have terminated your LOVENOTES Member ship account or terminated these Terms of Use, as portions of the Content may have been incorporated into Member profiles, RSS feeds or other features. Apart from the rights, licenses and privileges referred to above, you agree that LOVENOTES, in its sole discretion, may use and refer to your trademarks, service marks, trade names, image, character, logos, domain names and other distinctive brand features or identification in marketing materials, financial reports, presentations, website materials, customer lists and other media now known or hereafter discovered in connection with the marketing, advertising and promotion of the LOVENOTES Programme, and any products, goods, features, capabilities and/or services associated with the LOVENOTES Programme.

4. THIRD PARTY CONTENT, SITES, AND SERVICES The LOVENOTES site and Content available through the Service may contain features and functionalities that may link you or provide you with access to third party content which is completely independent of LOVENOTES. This includes web sites, directories, servers, networks, systems, information and databases, applications, software, programs, products or services, and the Internet as a whole. Any interactions you may have with organizations and/or individuals found on or through the Service, including payment and delivery of goods or services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and such organizations and/or individuals.You understand and agree that LOVENOTES shall not be responsible or liable for any loss or damage of any sort incurred as the result of any such dealings. If there is a dispute between participants on this site, or between users and any third party, you understand and agree that LOVENOTES is under no obligation to become involved. In the event that you have a dispute with one or more other users, you hereby release LOVENOTES, its officers, employees, agents and successors in rights from claims, demands and damages (actual and consequential) of every kind or nature, known or unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way related to such disputes and / or our service.

5. CONDUCT You understand and agree not to post, email, or otherwise make available Content: a. in a manner that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment; b. in a manner that infringes, violates or misappropriates any third party's intellectual property rights or other proprietary rights or contractual rights; c. to engage in spamming, "chain letters," "pyramid schemes", advertisement of illegal or controlled products or services, or other advertising or marketing activities that violate these Terms of Use, any applicable laws, regulations or generally-accepted advertising industry guidelines, including to other Users whether on or off the LOVENOTES Programme in connection with your social network; d. in a manner that is harmful to minors in any way; e. in a manner that is libelous or defamatory, or in a way that is otherwise threatening, abusive, violent, harassing, malicious or harmful to any person or entity, or invasive of another's privacy; f. in a manner that is hateful or discriminatory based on race, color, sex, religion, nationality, ethnic or national origin, marital status, disability, sexual orientation or age or is otherwise objectionable, as reasonably determined by LOVENOTES; g. to impersonate a LOVENOTES employee, or any other person, or falsely state or otherwise misrepresent your affiliation with any person or entity, or to obtain access to a social network or the LOVENOTES Programme without authorization; h. to facilitate the unlawful distribution of copyrighted content; i. in a manner that includes personal or identifying information about another person without that person's explicit consent; j. in a manner that constitutes or contains any form of advertising or solicitation if (1) posted in your Content; or (2) emailed to Users who have requested not to be contacted about other services, products or commercial interests. k. in a manner that is misleading, deceptive or fraudulent or otherwise illegal or promotes illegal activities, including engaging in phishing or otherwise obtaining financial or other personal information in a misleading manner or for fraudulent or misleading purposes; l. in a manner that employs misleading email or IP addresses, or forged headers or otherwise manipulated identifiers in order to disguise the origin of Content transmitted through the LOVENOTES Programme or to Users; and Additionally, you agree not to: • Collect, use or disclose data, including personal information, about other Users without their consent or for unlawful purposes or in violation of applicable law or regulations; • Use the name "LOVENOTES" as any part of the name of your social network or the network subdomain for your social network; • Post any Content containing child pornography to any social network. LOVENOTES absolutely does not tolerate this and will report any suspected instances of child pornography, including reporting any • Request, solicit or otherwise obtain access to usernames, passwords or other authentication credentials from any Member of the LOVENOTES Programme, including LOVENOTES ID passwords from a network creator, or to proxy authentication credentials for any Member of the LOVENOTES Programe for the purposes of automating logins to the LOVENOTES Programme; • "Stalk" or otherwise harass anyone; • Use any profanity or the description or name of any illegal activity in the name of your social network or the network subdomain (as defined below) for your social network; • LOVENOTES Member Data, to law enforcement, including the National Center for Missing and Exploited Children; • Post any Content that LOVENOTES determines in its sole discretion, depicts or contains rape, extreme violence, murder, bestiality, incest, or other similar content; • Post irrelevant Content, repeatedly post the same or similar Content or otherwise impose an unreasonable or disproportionately large load on LOVENOTES’s infrastructure; • Attempt to gain unauthorized access to LOVENOTES computer systems or engage in any activity that disrupts, diminishes the quality of, interferes with the performance of, or impairs the functionality of, the LOVENOTES Programme; • Take any action that may undermine the feedback or ratings systems (such as displaying, importing or exporting feedback information off of the LOVENOTES Programme or for using it for purposes unrelated to LOVENOTES); and • Develop, invoke, or utilize any code to disrupt, diminish the quality of, interfere with the performance of, or impair the functionality of the LOVENOTES Programme. • Post any Content that LOVENOTES determines constitutes pornography or is adult in nature. • Use automated means, including spiders, robots, crawlers, data mining tools, or the like to download data from social networks and the LOVENOTES Programme - except for Internet search engines (e.g. Google) and non-commercial public archives (e.g. archive.org) that comply with our robots.txt file, or "well-behaved" web services/RSS/Atom clients. We reserve the right to define what we mean by "well-behaved";

6. NO SPAM POLICY You understand and agree that sending unsolicited email advertisements to LOVENOTES email addresses or through LOVENOTES computer systems, which is expressly prohibited by these Terms, will use or cause to be used servers located in Canada.

7. PAID POSTINGS LOVENOTES may charge a certain fee to post Content in some areas of the Service. The fee is an access fee permitting Content to be posted in a designated area. Each party posting Content to the Service is responsible for said Content and compliance with the Terms of Use All fees paid will be non-refundable in the event that Content is removed from the Service for violating the Terms of Use.

8. LIMITATIONS ON SERVICE You accept that LOVENOTES may establish limits concerning use of the Service. This includes the maximum number of days that Content will be retained by the Service, the maximum number and size of postings, email messages, or other Content that may be transmitted or stored by the Service, and the frequency with which you may access the Service. You understand and agree that LOVENOTES has no responsibility or liability for the deletion or failure to store any Content maintained or transmitted by the Service. You acknowledge that LOVENOTES reserves the right at any time to modify or discontinue the Service (or any part thereof) with or without notice, and that LOVENOTES shall not be liable to you or to any third party for any modification, suspension or discontinuance of the Service.

9. ACCESS TO THE SERVICE LOVENOTES grants you a limited, revocable, nonexclusive license to access the Service for your own personal use. This license does not include: (a) access to the Service by Posting Agents; or (b) any collection, aggregation, copying, duplication, display or derivative use of the Service nor any use of data mining, robots, spiders, or similar data gathering and extraction tools for any purpose unless expressly permitted by LOVENOTES. A limited exception to (b) is provided to general purpose internet search engines and non-commercial public archives that use such tools to gather information for the sole purpose of displaying hyperlinks to the Service, provided they each do so from a stable IP address or range of IP addresses using an easily identifiable agent and comply with our robots.txt file. "General purpose internet search engine" does not include a website or search engine or other service that specializes in classified listings or in any subset of classifieds listings such as jobs, housing, for sale, services, or personals, or which is in the business of providing classified ad listing services. LOVENOTES permits you to display on your website, or create a hyperlink on your website to, individual postings on the Service so long as such use is for non commercial and/or news reporting purposes only (e.g., for use in personal web blogs or personal online media). If the total number of such postings displayed or linked to on your website exceeds one hundred (100) postings, your use will be presumed to be in violation of the TOU, absent express permission granted by LOVENOTES to do so. You may also create a hyperlink to the home page of LOVENOTES sites so long as the link does not portray LOVENOTES, its employees, or its affiliates in a false, misleading, derogatory, or otherwise offensive matter. Use of the Service beyond the scope of authorized access granted to you by LOVENOTES immediately terminates said permission or license. In order to collect, aggregate, copy, duplicate, display or make derivative use of the Service or any Content made available via the Service for other purposes (including commercial purposes) not stated herein, you must first obtain a license from LOVENOTES.

10. FEEDBACK You have the option to provide suggestions, comments, improvements, ideas, recommendations or other feedback or materials to us related to your social network or the LOVENOTES Programme including, on the LOVENOTES blog, Forum or on the LOVENOTES Open Social Directory ("Feedback"). If you elect to provide us any such Feedback, you hereby assign all ownership in and to such Feedback to us, and acknowledge that we will be entitled to use and implement any such Feedback in any manner without restriction, and without any obligation of confidentiality, attribution or compensation to you. To the extent the foregoing is deemed ineffective, you also hereby grant LOVENOTES a nonexclusive, perpetual, irrevocable, transferable, sublicensable, royalty free, fully paid up license to use and otherwise exploit Feedback.

11. TRADEMARKS AND LEGAL NOTICES LOVENOTES trademarks, logos, images, service marks, trade names and other distinctive branding features used on the LOVENOTES Platform "LOVENOTES Marks" are the trademarks of LOVENOTES and may not be used without permission. LOVENOTES is not granting you a license under any intellectual property right to the LOVENOTES Marks. Other trademarks, logos, and trade names that may appear on the LOVENOTES Programme are the property of their respective owners.

12. REPRESENTATION AND WARRANTIES You hereby represent and warrant to LOVENOTES that: (a) you will comply with all applicable local, state, national and international laws (including the CAN-SPAM Act of 2003), rules, and regulations in connection with your use of the LOVENOTES Programme including your promotional or other activities off the LOVENOTES Programme that relate to your social network; (b) you have the right to grant to LOVENOTES the rights granted herein and you own or have all necessary rights, title and interest in and to your Code and the Content; (c) your Code and the Content does not and will not (i) infringe, violate or misappropriate any third-party right, including any copyright, trademark, patent, trade secret, moral rights, privacy rights, rights of publicity, or any other intellectual property or proprietary right, or (ii) slander, defame, libel, or invade the right of privacy, publicity or other property rights of any person; and (d) none of your Code, the Content or your social network contains any viruses, Trojan horses, trap doors, back doors, Easter eggs, worms, time bombs, cancelbots, or other computer programming routines that may potentially damage or interfere with the LOVENOTES Programme, or intercept or expropriate any system data or personal information from the LOVENOTES Programme.

13. DISCLAIMER OF WARRANTIES YOUR USE OF THE LOVENOTES PROGRAMME, AND ALL NETWORK CODE, PROGRAMME CODE, THIRD PARTY SOFTWARE, NON-LOVENOTES CODE, AND CONTENT (INCLUDING THIRD PARTY CONTENT), ARE AT YOUR SOLE RESPONSIBILITY AND RISK. THE LOVENOTES PROGRAMME AND ALL NETWORK CODE, PROGRAMME CODE, THIRD PARTY SOFTWARE, NON-PROGRAMME CODE AND CONTENT (INCLUDING THIRD PARTY CONTENT) ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. LOVENOTES AND ITS SUCCESSORS, AFFILIATES, CONTRACTORS, EMPLOYEES, SUPPLIERS, LICENSORS, PARTNERS AND AGENTS EXPRESSLY DISCLAIM ALL REPRESENTATIONS, WARRANTIES, OR CONDITIONS OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, PERFORMANCE, SYSTEM INTEGRATION, QUIET ENJOYMENT, TITLE, AND NON-INFRINGEMENT. LOVENOTES AND ITS SUCCESSORS, AFFILIATES, CONTRACTORS, EMPLOYEES, SUPPLIERS, LICENSORS, PARTNERS AND AGENTS DISCLAIM ANY WARRANTY THAT THE LOVENOTES PROGRAMME, OR ANY NETWORK CODE, PROGRAMME CODE, THIRD PARTY SOFTWARE, NON-LOVENOTES CODE OR CONTENT (INCLUDING THIRD PARTY CONTENT) WILL MEET YOUR REQUIREMENTS OR BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE LOVENOTES PROGRAMME OR THE SERVER THAT MAKES THE LOVENOTES PROGRAMME AVAILABLE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. LOVENOTES MAKES NO GUARANTEE REGARDING (A) THE AMOUNT, TIMING AND DELIVERY OF ANY CLICKS OR IMPRESSIONS WITH RESPECT TO ANY CONTENT (INCLUDING THIRD PARTY CONTENT) OR ADVERTISING ON THE LOVENOTES PROGRAMME OR YOUR SOCIAL NETWORK (B) THE VOLUME AND QUALITY OF ANY TRAFFIC TO YOUR SOCIAL NETWORK OR (C) THE COMPATIBILITY OF YOUR CODE OR ANY NON-LOVENOTES CODE WITH ANY LOVENOTES TECHNOLOGY. ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE LOVENOTES PROGRAMME IS DONE AT YOUR OWN DISCRETION AND RISK AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR OTHER DEVICE OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF ANY SUCH MATERIAL. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM LOVENOTES OR ITS SUCCESSORS, AFFILIATES, CONTRACTORS, EMPLOYEES, SUPPLIERS, LICENSORS, PARTNERS OR AGENTS, OR THROUGH OR FROM THE LOVENOTES PROGRAMME SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THE TERMS.

14. LIMITATION OF LIABILTY YOU AGREE THAT, UNDER NO LEGAL THEORY, INCLUDING, BUT NOT LIMITED TO NEGLIGENCE, SHALL LOVENOTES OR ITS SUCCESSORS, AFFILIATES, CONTRACTORS, EMPLOYEES, SUPPLIERS, LICENSORS, PARTNERS OR AGENTS, BE LIABLE TO YOU FOR (A) ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, COST OF COVER, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES (EVEN IF LOVENOTES HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), ARISING FROM OR RELATING TO THIS AGREEMENT OR YOUR USE OR THE INABILITY TO USE THE LOVENOTES PROGRAMME; OR (B) ANY DAMAGES ARISING FROM OR RELATED TO THIS AGREEMENT (IN THE AGGREGATE FOR ALL POTENTIAL CLAIMS BY YOU) IN EXCESS OF THE GREATER OF (i) $100 AND (ii) THE TOTAL AMOUNTS PAID TO LOVENOTES BY YOU IN THE TWELVE MONTHS IMMEDIATELY PRECEDING THE INITIAL NOTICE OF ANY CLAIM. THESE LIMITATIONS SHALL ALSO APPLY WITH RESPECT TO DAMAGES INCURRED BY REASON OF ANY PRODUCTS OR SERVICES SOLD OR PROVIDED ON ANY THIRD PARTY SITES OR OTHERWISE PROVIDED BY ANY THIRD PARTIES OTHER THAN LOVENOTES (INCLUDING THIRD PARTY APPLICATION DEVELOPERS) AND RECEIVED BY YOU THROUGH OR ADVERTISED ON THE LOVENOTES PROGRAM OR RECEIVED BY YOU ON ANY THIRD PARTY SITES. CERTAIN JURISDICTIONS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF YOU RESIDE IN SUCH A JURISDICTION, SOME OR ALL OF THE ABOVE DISCLAIMERS, EXCLUSIONS, OR LIMITATIONS MAY NOT APPLY TO YOU, AND YOU MAY HAVE ADDITIONAL RIGHTS. THE LIMITATIONS OR EXCLUSIONS OF WARRANTIES, REMEDIES OR LIABILITY CONTAINED IN THIS AGREEMENT APPLY TO YOU TO THE FULLEST EXTENT SUCH LIMITATIONS OR EXCLUSIONS ARE PERMITTED UNDER THE LAWS OF THE JURISDICTION IN WHICH YOU ARE LOCATED.
